Terms & Conditions for ICT Council Participation
1. Eligibility and Recognition
Affiliation Requirement: Participation is restricted to ICT Councils that are duly recognized, affiliated with, or endorsed by the National ICT Confederation of the Philippines (NICP).
Legal Status: Each Council warrants that it possesses the necessary authority to enter into this partnership and perform the obligations set forth herein.
2. Obligations of the ICT Council
The ICT Council shall serve as the primary local implementation partner and shall:
Local Coordination: Lead the ground-level coordination and execution of training programs within their respective regions.
Mobilization: Actively recruit and mobilize qualified participants within their jurisdiction to meet program objectives.
Logistical Support: Provide necessary logistical and operational assistance, including venue coordination and local stakeholder engagement, as required for successful delivery
3. Obligations of NICP Academy
The NICP Academy, as the certifying body, shall:
Standardization: Provide the comprehensive training standards, curriculum, and the official certification framework.
Industry Liaison: Manage coordination with industry partners and subject matter experts to ensure technical relevance.
Quality Assurance: Monitor and ensure the consistency, quality, and academic integrity of all training deliveries.
4. Revenue Sharing and Financial Arrangements
Entitlement: ICT Council partners shall be entitled to a share of the net proceeds generated from training programs conducted within their locality.
Calculation: Net proceeds shall be defined as gross revenue minus agreed-upon operational costs, administrative fees, and taxes.
Specific Agreements: Exact revenue-sharing percentages and cost structures shall be defined in a separate Program-Specific Addendum for each individual initiative.
5. Intellectual Property and Branding
Limited License: ICT Councils are granted a non-exclusive, revocable license to use the “NICP Academy Official Partner” designation for promotional purposes.
Brand Integrity: All marketing materials and use of logos must strictly adhere to NICP branding guidelines and are subject to prior written approval from the Academy.
6. Performance Compliance and Reporting
Standards Adherence: ICT Councils must maintain strict compliance with all program standards and quality requirements established by the Academy.
Reporting: Partners are required to submit timely reports regarding participant data, local feedback, and operational outcomes through designated reporting mechanisms.
7. Program Viability and Force Majeure
Feasibility Clause: Training programs are contingent upon reaching the minimum participant threshold.
Discretionary Rights: NICP Academy reserves the right to approve, reschedule, or cancel sessions based on operational feasibility or unforeseen circumstances beyond reasonable control (Force Majeure).
8. Suspension and Termination
Termination for Cause: NICP Academy reserves the right to unilaterally suspend or terminate this partnership in the event of non-compliance with standards, ethical misrepresentation, or persistent failure to meet agreed responsibilities.
Dissolution: Upon termination, the Council shall immediately cease all use of NICP Academy branding and return any proprietary instructional materials.
9. General Provisions and Amendments
Right to Update: These terms and conditions may be updated or amended by NICP Academy as necessary to improve governance and program delivery.
Governing Law: This partnership shall be governed by the laws of the Republic of the Philippines.
